Modern ekspres tünelarsa hariç 2,5–8 milyon dolar (tipik orta boy tesis 3–4 milyon dolar)tam kapasitede 700 bin–2 milyon dolar

Her zaman işe yaramıyor.

Bir oto yıkama roll-up’ında çarpan arbitrajı nasıl işliyor?#

Mister Car Wash kimin?

Leonard Green and Partners, Mister Car Wash’a ilk kez 2014’te yatırım yaptı ve şirketi 2021’de New York Borsası’nda halka arz etti. Aynı şirket Şubat 2026’da şirketin tamamını geri almayı kabul etti; %29 primle 3,1 milyar dolar nakit ödeyerek borsadan çekti. Mister Car Wash yaklaşık 550 tesis işletiyor.

ZIPS Car Wash neden iflas etti?

You paid twenty-five dollars this month for something you don't own, at a business you probably couldn't name, run by a company you've never heard of. It's not your bank. It's not your gym. It's the car wash on the corner — neon sign, guy waving you into the tunnel. You think you know who runs it. You don't. Over the last five years, some of the biggest private equity firms in the world have quietly bought up thousands of car washes across America, turning a low-tech afternoon chore into a multi-billion-dollar asset class. Once you see the real math, you'll understand exactly why they want it so badly.

For most of the last hundred years, a car wash was about as simple as small business gets. You buy a lot, you pour concrete, you install some brushes or a couple of self-serve bays, and customers pay you a few dollars whenever they show up. Self-serve bays alone cost somewhere between eight and fifteen thousand dollars per bay to build — a four-bay lot can be running for under three hundred fifty thousand dollars. It's the definition of a sweat-equity business: one owner, minimal staff, cash coming in a few dollars at a time. The problem is the ceiling. A typical self-serve location only pulls in forty to eighty thousand dollars a year, and revenue depends entirely on the weather and whether people happen to drive by dirty that day. It's a fine way to own your own small business. It is not, on its own, the kind of business that gets Wall Street's attention. Something else had to change first.

That something was the membership. Instead of charging you eight dollars for one wash, chains started offering unlimited washes for a flat monthly fee — typically around twenty-five dollars a month. On paper, that sounds like it should cost the business more. In practice, it's the single biggest shift the industry has seen in a generation. Members wash more often, sure — on average, a bit over twice a month — but the real value isn't the extra washes. It's the recurring revenue. A customer who used to show up four times a year, twenty dollars at a time, is now locked into a subscription that pays out every single month whether they use it or not. At scale, that recurring membership revenue now makes up somewhere between forty and sixty percent of total revenue at a modern express tunnel location. That's not a car wash anymore, in the way investors think about it. That's a subscription business that happens to also clean your car — and subscription businesses trade for a lot more than sweat-equity ones.

So let's actually build one. A modern express tunnel — the kind with the conveyor belt and the arch of spinning brushes — runs anywhere from two and a half to eight million dollars to build, not including the land, depending on where in the country you're putting it. A typical mid-size build lands somewhere around three to four million. Once it's running at full volume, that single location can generate anywhere from seven hundred thousand to two million dollars a year in revenue, with net margins in the twenty-five to thirty-five percent range — call it three to six hundred thousand dollars a year hitting the bottom line, on a well-run site. Do the simple math and a single tunnel can pay for its own construction in something like seven to ten years of operating cash flow. That's a real business, with real, satisfying numbers on a spreadsheet. But here's what turns those numbers from 'a good small business' into 'a target': buy that same stabilized location once it's already proven and profitable, and it doesn't sell for the cost of a fresh build. It sells for a multiple of its yearly profit — anywhere from three to seven times its annual earnings, and the biggest platforms with the strongest membership bases command the top of that range.

So who's paying that premium? Start with Mister Car Wash — with around five hundred fifty locations, it runs the largest car wash subscription program in North America. Leonard Green and Partners first invested in Mister Car Wash back in 2014. They took it public on the New York Stock Exchange in 2021. And in February of 2026, Leonard Green agreed to buy the whole thing back — taking it private again for three point one billion dollars in cash, at a twenty-nine percent premium. The same firm has now owned this company, sold it to the public, and bought it back, twice over. Then there's Whistle Express Car Wash, backed by Oaktree Capital. In one deal alone, Whistle Express bought roughly three hundred eighty Take Five Car Wash locations for three hundred eighty-five million dollars, instantly making it the largest express car wash company in the entire United States, with over five hundred thirty locations across twenty-three states. KKR — one of the largest private equity firms on the planet — bought a minority stake in Quick Quack Car Wash for eight hundred fifty million dollars, a chain with over a million unlimited-membership customers. This is not a handful of hobbyists. This is some of the largest pools of capital in the world, competing to own your neighborhood car wash.

It doesn't always work out. ZIPS Car Wash built out more than two hundred sixty locations across twenty-three states chasing the exact same playbook — buy fast, roll up independents, layer on debt to fund the growth. In February of 2025, ZIPS filed for bankruptcy. Not because people stopped washing their cars. Because the debt taken on to fund all that rapid expansion became too heavy to service. The lesson underneath the collapse is the same one that shows up across this channel: recurring membership revenue makes a business look safe enough to load up with debt — right up until the moment it isn't. The wash itself was never the risk. The financial engineering built on top of it was.

Here's the actual mechanism driving all of this. A single, independent car wash sells for a modest multiple of its profit — call it three or four times earnings. But a platform of fifty or a hundred connected locations, all sharing one brand, one membership app, one bulk chemical contract, one marketing budget — that platform sells for a much higher multiple, sometimes six, seven times earnings or more. Private equity firms aren't buying car washes because they love clean cars. They're buying the gap between those two multiples. Every independent wash they fold into the platform gets revalued overnight, on paper, at the platform's higher price — without the wash itself changing at all. It's the exact same 'multiple arbitrage' playbook from the restaurant roll-ups in our last video, just running on a completely different set of buildings, with a completely different set of billionaires behind it.

So the next time you tap your card for a monthly car wash membership, you're not really paying a local business owner for a wash. Depending on which chain's sign is above the tunnel, you might be paying into a fund controlled by a private equity firm managing tens of billions of dollars — one that's using your twenty-five dollars a month, and thousands of subscriptions just like it, to make an entire industry roll-up look irresistible on a spreadsheet in Los Angeles or New York.

And the roll-up playbook doesn't stop at car washes and restaurant chains. Next time on Margin, we follow a company that once looked completely unstoppable — until it turned several billion dollars of investor money into almost nothing. If you want to actually understand where your money goes before you spend it, subscribe — and follow the money.
